Terms of Service

These Terms of Service ("Terms") govern consultation, development, design, and related technical advisory work ("the Services") provided by the consultant ("I", "me") to a client ("you", "the Client"). By engaging me, requesting work, or accepting a proposal, quote, or statement of work, you agree to these Terms. Where a separate signed agreement or statement of work conflicts with these Terms, that agreement controls.
Scope of Work
The Services are defined in the proposal, quote, statement of work, or written brief agreed between us. Anything not expressly described there is out of scope. Changes to scope, deliverables, or timelines must be agreed in writing and may affect fees and delivery dates. I may decline work that is unlawful, unethical, or outside my expertise.
Fees & Payment
- Fees are charged on the basis agreed in the relevant proposal: hourly, daily, fixed-price, or retainer.
- Unless stated otherwise, invoices are due within 14 days of the invoice date.
- A deposit or upfront payment may be required before work begins. Work may be paused if invoices are unpaid.
- Quoted fees exclude third-party costs (hosting, licences, APIs, domains, paid assets), which are passed through at cost or billed to you directly.
- Late payments may incur interest and reasonable recovery costs as permitted by applicable law.
- All fees are exclusive of any applicable taxes unless stated otherwise.
Client Responsibilities
You agree to provide timely access to information, accounts, credentials, content, and decision-makers needed to perform the Services. Delays caused by missing input, slow feedback, or unavailable access are not my responsibility and may affect timelines and fees. You confirm you have the right to provide any materials, data, or credentials you share with me.
Intellectual Property
Unless a statement of work says otherwise, ownership of deliverables transfers to you upon full payment. Until then, all work product remains my property. I retain ownership of my pre-existing tools, libraries, frameworks, and know-how, and may reuse general skills, techniques, and non-confidential concepts gained during the engagement. Where my deliverables include third-party or open-source components, those remain under their own licences.
Confidentiality
Each party agrees to keep the other's non-public information confidential and to use it only to perform or receive the Services. This does not apply to information that is public, independently developed, or required to be disclosed by law.
Portfolio & Attribution
Unless you ask me in writing not to, I may reference non-confidential aspects of completed work (project name, role, screenshots, general description) in my portfolio and marketing. I will not disclose confidential details or credentials.
Warranties & Disclaimer
I will perform the Services with reasonable skill and care, in line with what is expressly set out in the agreement or statement of work. Anything outside that agreement is not covered: the Services and deliverables are provided "as is", and I make no warranties as to outcomes, results, or fitness for any purpose not expressly agreed. I do not warrant that software will be error-free or uninterrupted. You are responsible for testing, backups, and how deliverables are deployed and used after handover.
Limitation of Liability
To the maximum extent permitted by law, my total liability arising out of or in connection with the Services is limited to the fees you paid for the specific work giving rise to the claim. I am not liable for indirect, incidental, or consequential losses, including lost profits, lost data, or business interruption. Nothing in these Terms limits liability that cannot be limited by law.
Independent Contractor
I act as an independent contractor, not an employee, partner, or agent of the Client. I am responsible for my own taxes, insurance, and equipment, and may use subcontractors provided I remain responsible for the work.
Termination
Either party may end an engagement with reasonable written notice. On termination you agree to pay for all work performed and costs incurred up to the termination date. Confidentiality, intellectual property, and liability terms survive termination.
Changes
I may update these Terms from time to time. The version in force at the start of an engagement applies to that engagement.
